Tech-Byte Services – Terms & Conditions
These Terms & Conditions establish the general rules, responsibilities, and expectations governing the use of services provided by Tech-Byte Services. They are intended to provide clarity and transparency while ensuring a consistent experience across all service offerings.
1. Introduction
These Terms & Conditions (“Agreement”) govern the use of services provided by Tech-Byte Services (“Company,” “we,” “us,” or “our”). By engaging with or using our services, the client (“Client,” “you,” or “your”) agrees to be bound by these terms.
2. Scope of Services
Tech-Byte Services provides managed IT services, internet services, VoIP solutions, consulting, and related technology services. The specific scope, deliverables, and obligations for each service will be defined in individual service agreements, proposals, or statements of work.
For specific services, please refer to your applicable agreements:
- VoIP services are governed by your VoIP Service Agreement
- Managed workstation services are governed by your Workstation 360 Service Agreement
In the event of any conflict, the terms of the applicable service-specific agreement shall take precedence over this general Terms & Conditions document.
3. Service Availability & SLA
Tech-Byte Services strives to provide reliable and consistent service. However, we do not guarantee uninterrupted or error-free operation.
Where applicable, service levels, uptime commitments, and response times are defined in your specific Service Level Agreement (SLA) or service-specific agreement. Clients should refer to those documents for detailed performance commitments.
Scheduled maintenance, updates, and emergency changes may occur and could temporarily impact service availability.
4. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information required for service delivery
- Maintain appropriate use of all provided systems and services
- Ensure all users comply with applicable laws and regulations
- Maintain appropriate security practices, including password management and endpoint protection
- Promptly report issues, outages, or suspected security incidents
Failure to meet these responsibilities may impact service performance and support obligations.
5. Acceptable Use Policy
Clients may not use Tech-Byte Services for:
- Illegal or unauthorized activities
- Distribution of malware, spam, or harmful content
- Attempted unauthorized access to systems or networks
- Activities that disrupt or degrade service performance for others
We reserve the right to suspend or terminate services for violations of this policy.
6. Billing, Payment & Cancellation
All services are billed according to the terms outlined in your individual service agreement, invoice, or proposal.
Failure to make timely payments may result in:
- Service suspension
- Late fees
- Termination of services
Cancellation terms are defined within your specific service agreements, including but not limited to:
- VoIP Services: Require a minimum of 60 days’ written notice for cancellation
- Workstation 360 Services: Require a minimum of 90 days’ written notice for cancellation
These terms are enforced as outlined in the respective agreements.
7. Data, Backup & Privacy
Tech-Byte Services respects client data and privacy. We do not sell or share client data except as necessary to deliver services or comply with legal obligations.
Unless explicitly stated in a separate agreement:
- The Client is responsible for maintaining data backups
- Tech-Byte Services is not responsible for data loss
If backup services are provided, details regarding retention, recovery, and limitations will be outlined in the applicable service agreement.
8. Third-Party Services
Certain services rely on third-party providers, including but not limited to internet carriers, cloud providers, and VoIP infrastructure providers.
Tech-Byte Services is not responsible for:
- Outages caused by third-party providers
- Service degradation outside our control
- Changes made by third-party vendors
9. Limitation of Liability
To the fullest extent permitted by law, Tech-Byte Services shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:
- Loss of data
- Loss of revenue or profits
- Business interruption
Maximum Liability:
Tech-Byte Services’ total liability for any claim arising out of or relating to this Agreement shall not exceed the total amount paid by the Client for services during the three (3) months preceding the event giving rise to the claim.
10. Indemnification
The Client agrees to indemnify and hold harmless Tech-Byte Services from any claims, damages, or expenses arising from:
- Misuse of services
- Violation of applicable laws or regulations
- Breach of this Agreement
11. Force Majeure
Tech-Byte Services shall not be held liable for failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:
- Natural disasters
- Power outages
- Internet or telecommunications failures
- Acts of government
- Cyberattacks or widespread service disruptions
12. Termination
Either party may terminate services in accordance with the terms outlined in the applicable service agreement.
Upon termination:
- All outstanding balances become immediately due
- Access to services may be suspended or revoked
- Data retention or deletion will follow the terms of the applicable agreement
13. Modifications
Tech-Byte Services reserves the right to update or modify these Terms & Conditions at any time. Continued use of services constitutes acceptance of any changes.
14. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Kentucky.
15. Entire Agreement
This document, together with any applicable service agreements, constitutes the entire agreement between the Client and Tech-Byte Services.
